Hayden was found guilty after a three-hour hearing in Melbourne of breaching Cricket Australia's (CA) strict code of behaviour for publicly denigrating an opponent.
The 36-year-old had faced the possibility of a ban or a fine but escaped with a warning after saying his comments were not intended to be offensive.
"I maintain my innocence, my intentions were never to denigrate cricket or anyone," Hayden said in a statement after the hearing.
"But the umpire has made his decision and in the spirit of cricket I respect and accept the decision."
The charges were laid after Indian officials lodged a formal complaint over Hayden's comments, which included a light-hearted challenge for teenage fast bowler Ishant Sharma to join him in the boxing ring.
"We condemn such comments by the Australian players," BCCI's chief administrative officer, Ratnakar Shetty, said.
"Our secretary has already communicated our feelings to Cricket Australia. We've advised our players to show restraint but despite that if such comments are being made it is really unfair."
Hayden delivered the verbal attack during an interview with a Brisbane radio station, claiming the Australian players were fed up with being painted as the instigators in their bitter public feud with the tourists.
Three Indian players, including Harbhajan and Sharma, have been found guilty of breaching the International Cricket Council's code of conduct during the ill-tempered tour but maintain the Australians provoked them.
LONG-RUNNING BATTLE
Hayden said his dispute with Harbhajan dated back long before this series but claimed the reason the Indians were complaining so much on this tour was because ‘they are losing every game they are playing’.
"It's been a bit of a long battle with Harbhajan. The first time I ever met him he was the same little obnoxious weed that he is now," Hayden told the radio station.
"His record speaks for itself in cricket. There is a certain line that you can kind of go to and then you know where you push it and he just pushes it all the time. That's why he has been charged more than anyone that's ever played in the history of cricket."
Hayden, who was named on Tuesday as Australia's best ODI player for the past 12 months, also took a swipe at Sharma, who was fined 15 per cent of his match fee after an ugly exchange with Andrew Symonds at the Sydney Cricket Ground on Sunday.
"He is just young. I have said to him many times, 'You are 19, take it easy'," Hayden said.
"He is 19, why doesn't he just worry about his bowling for a while?
"I like the idea of actually getting into the ring. I like that, let's bring that one on."
Harbhajan wasted little time firing back at Hayden, saying the Australian was disliked by most international opponents and his comments were borne out of the frustration the Australians felt at being pushed by an improving Indian team.
"Maybe they realise that they no longer are the undisputed champions of the world. Maybe they feel the crown is slipping," Harbhajan said.
"Otherwise, why would a cricket veteran ask a 19-year-old to join him in a ring?
"I don't want it to be a slanging match but you only need to speak to international cricketers and international teams to know in what opinion they hold Hayden."

Hayden has challenged the Indian player 2 come in ring n fight. If the Indian player doesnt tk the challenge then Ausies will carry on sayin nasty things. But Hayden is better built n looks fit.He might beat both Sharma n Harbhagen.
Can't we just ban this unruly australian from playing in india?actually the government should take a stand on this issue thoughits not good to mix politics and sports but this issue racism and name calling needs to end. calling some one a monkey or a weed... how different is it?
It is said that you can give only what you have got. If you are full of filth then it is filth that comes out so let us not bother and ignore these remarks. It also shows the type of upbringing this child must have had. He is just a child isn't he. A grown up child at that.
Don't play with them .Let them suffogate because of money .Tey will lick your toes .
Hayden will get away, as usual, with pat on his knuckles. Any crime against again non-whites by whites is treated as aminor one. Read history and you will instances aplenty. For Hayden the punisment will be as light as hay.
Do not hold your breath. Sledging is with the blessings of Cricket Australia who time and again have stated that they see nothing wrong with the boorish behaviour of the Aussie cricketers. Hayden will get away with a light fine. This will be more than made up by the IPL morons who are paying these cheepskates hundreds of thousands of dollars. So keep paying India, while these guys continue sledging your boys.
There are two teams in Cricket Australia Team. Hayden, Pup Clarke, Symonds and Ponting are buddies and separate from the rest. They work together and also star in same advertisements together. And team up against team members and opponents alike. In Sydney test match, root cause was Symonds not liking Harbhajan having friendly relationship with Brett Lee.
Cricket is no more a gentlemen's game. It has become corrupted and show biz. Australian are getting frustrated because they hv started loosing. They are not able accept the fact that the other teams are catching up with them and hv started beating them. Sledging has always been one of their weapons in the cricket armoury. However the Indian have to refrain them self from acknowledging and replying to their sledging. They need to understand that this is one of their tactics to overwhelm their opponents. The old cricketers of India used to understand this fact and would ignore it. But our younger generation cricketers are aggressive and cannot understand their tactics and over react. Let the ball and bat respond to their sledging. Keep winning and let them sulk in their downturn and deprivation. They will come to their senses once every world team will start beating them. The days are very near that it will start happening. Take the case of their under 19 team who lost to pakistan in the quarter finals. Their most of the experience players are retiring now and the new players are not that dynamic and good. So have patience and play yr game and win the CB series by beating them in both finals.
Where did you get the figure 40% from Einstein? I know India always lose 40% because they're not good players, and 40% because they have no heart. They lose 40% of the time because of rain, bad umpires and miscellaneous other excuses. Indians also cheat 40% of the time.
This kind of frustration is not only in cricket it is happening in every corners. a few of the white people keeping this attitude towards Indians. They are frustrated because we are getting excelled in evry way. Clearly our community in their countries are the richest and most educated community. But we must consider majority respect us. It is time to teach ICC how to manage cricket matters. Our contribution to Cricket is far better than any country.
Can we have a total ban on all types of sledging and see the results of the Australian team?I ahve a feeling that they have been winning tournaments partly (40 %)due to sledging.
no......Its because Brad Hogg is announcing his retirementhttp://www.smh.com.au/news/cricket/hogg-to-retire-report/2008/02/27/1203788422462.html
