Company to shift office to Mumbai

Calcutta, May 31: Rossell Industries Ltd proposes to shift its registered office from Calcutta to Mumbai, the Indian headquarters of the Unilever group. It also proposes to appoint Lovelock & Lewes as the second statutory auditor in addition to Lodha & Co.

The company has convened its 24th annual general meeting on June 28, where eight resolutions will be placed. Apart from the routine adoption of accounts, resolutions for transfer of registered office and appointment of a joint statutory auditors will also be placed.

Explaining the relocation proposal, the management has stated: "The Company's Registered Office at present is situated in Calcutta .... Since the Management of Unilever Group of Companies in India is carried out from Mumbai, where the Group Headquarter is located, it is considered expedient to transfer the Registered Office of the Company to Mumbai in the State of Maharashtra."

It also notes: "Your Directors are of the opinion that the transfer of the Registered Office to Mumbai will facilitate better management and control of the affairs of the Company".

The company plans to set up an investor service desk at Calcutta to attend to issues of the small shareholders. "...in order to ensure that the Calcutta based shareholders are not inconvenienced in any manner as a result of shifting of the Registered Office, the Company is taking steps to establish an Investor Service Desk at Calcutta which would attend to the investor service issues from the Eastern Region".

As for the appointment of another statutory auditor, the company says it has received a notice from a member proposing the name of Lovelock for job.The other resolutions deal with ratifying the appointment of directors P Asirvatham, R Karunanithi, chairman SK Dhall and wholetime director HS Sidhu. Remuneration of HS Sidhu will also have to be ratified by the shareholders as proposed by the management at the forthcoming AGM.
